Software Escrow
Source Code Escrow
In the event of software failure source code is typically required to modify, support or maintain an application. The practice of requiring a source code escrow as part of a larger transaction is the cornerstone of any protection plan for licensed technology assets or significant investments in technology.
Source code escrow agreements are often used to support:
- Software license agreements
- SaaS agreements
- OEM agreements
- Joint Ventures
- Partnerships
- Embedded technologies
- Investments in software companies
Technology Escrow
SaaS Escrow
Technology as Collateral Escrow
In today’s technology-driven world, intellectual property and software assets have become some of the most valuable resources a company possesses. When seeking financing, these assets can be leveraged as collateral in escrow agreements, giving businesses a powerful tool for securing loans without traditional physical collateral. PRAXIS Technology Escrow provides a secure, SOC2-compliant environment to protect these critical assets, ensuring that both lenders and borrowers have peace of mind.
Joint Venture Escrow
Joint ventures are becoming an increasingly popular way for companies to collaborate, innovate, and expand into new markets. However, entering into a joint venture involves significant risks, especially regarding intellectual property (IP) and the protection of critical assets. At PRAXIS Technology Escrow, we offer tailored escrow solutions designed specifically for joint ventures, ensuring that all parties involved can operate with confidence and security.
IP Escrow
Intellectual property (IP) such as scientific formulas, proprietary designs, manufacturing processes, and recipes are valuable assets that require robust protection. Whether you’re developing pharmaceuticals, innovative products, or unique manufacturing techniques, it’s critical to secure these valuable assets in case of business disputes, partnerships, or unforeseen events.
AI Escrow
AI is not just software. It includes trained models, datasets, deployment pipelines, and the operational processes that keep everything running. If your organization depends on third-party AI, you are also taking on third-party risk.
PRAXIS AI Escrow helps reduce that risk by securing the AI assets your business relies on. If a vendor fails, discontinues support, or experiences a disruption that triggers your escrow release conditions, escrow can provide a path forward for continuity and control.
Hardware Escrow
Your hardware is more than a product — it’s schematics, bills of materials, manufacturing instructions, and years of engineering work. If something happens to the company behind it, your customers shouldn’t lose the ability to manufacture, service, or maintain what they’ve already bought. PRAXIS Hardware Escrow makes sure they don’t have to.
Data Escrow
De-identified medical datasets. Transactional records. AI training data. Increasingly, the thing your customers are licensing isn’t software — it’s data. And if you go dark, they need more than a promise that their access continues. PRAXIS Data Escrow gives them that continuity, backed by an agreement built for how data actually works.
IoT Escrow
An IoT product isn’t just hardware, and it isn’t just software — it’s both, working together. If your company can’t continue supporting the device, your customer needs the physical designs and the firmware that brings them to life. PRAXIS IoT Escrow is the only escrow built around that reality from the ground up.
Quality Assurance
Deposit Material Evaluation (DME)
Once the escrow is complete and legal protection is in place DME (an optional service) will provide a detailed visual inspection of each escrow deposit and subsequent update to confirm:
A. Media is accessible
B. Passwords are included and functional
C. Visually confirm the presence of materials
D. Inventory the materials received
E. Provide a summary report
While these steps do not guarantee functionality, they do often find obvious shortfalls in escrow deposits.
